These Terms of Service (“Terms”) govern your access to and use of hospitalasset.com and related website features operated by Hospital Asset (“Hospital Asset,” “we,” “us,” or “our”). By using the website or submitting an inquiry, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website.
Business-purpose website
The website provides information and a way for healthcare facilities, equipment owners, buyers, sellers, and other business users to contact us about pre-owned or surplus medical equipment. You must be at least 18 years old and authorized to act for the organization you represent.
Inquiries are not transactions
A website submission, product discussion, valuation, indication of interest, or preliminary review is not a binding offer, acceptance, purchase order, sale, appraisal, or guarantee of a transaction. Any purchase or sale is subject to satisfactory due diligence and a separate written agreement, invoice, purchase order, or other transaction document accepted by the relevant parties. That document will control if it conflicts with these Terms.
Your submissions and equipment information
You agree that information you submit is accurate, current, and lawful, and that you have the right to provide it. For equipment offered for sale, you are responsible for disclosing ownership, liens or restrictions, model and serial information, condition, configuration, included accessories, service history, known defects, recalls, contamination risks, and any other material facts requested during review.
You grant us a non-exclusive permission to use submitted information and media to evaluate the inquiry, communicate with you, document the potential transaction, and involve relevant service providers. You retain ownership of your materials.
No patient information. Do not submit PHI, patient identifiers, medical records, images showing patient information, or device data tied to an individual. Before providing device photographs, screenshots, files, or equipment, you are responsible for removing patient information and other data that you are not authorized to disclose. Use of the website does not create a HIPAA business associate relationship.
Medical-equipment limitations
Website content is general business information, not medical, clinical, engineering, regulatory, legal, or safety advice. Equipment must not be placed into clinical service unless it has been appropriately inspected, tested, cleaned, configured, maintained, and approved by qualified personnel in accordance with applicable law, manufacturer instructions, facility policies, and any governing transaction documents.
Hospital Asset is an independent equipment reseller and is not affiliated with, sponsored by, or endorsed by Philips or any other manufacturer. Product names and trademarks belong to their respective owners and are used for identification.
Acceptable use
You may not misuse the website; interfere with its security or operation; attempt unauthorized access; introduce malicious code; scrape or harvest data through automated means without written permission; impersonate another person or organization; submit unlawful, deceptive, infringing, or harmful material; or use the website in violation of applicable law.
Intellectual property
The website design, text, graphics, branding, software, and other content provided by Hospital Asset are owned by or licensed to us and are protected by applicable intellectual-property laws. We grant you a limited, revocable, non-transferable right to use the website for its intended business purpose. No other rights are granted.
Third-party services and links
The website may reference or link to third-party services. We do not control and are not responsible for their availability, content, security, terms, or practices. Your use of a third-party service is governed by that provider’s terms.
Disclaimers
To the fullest extent permitted by law, the website and its content are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the website will be uninterrupted, error-free, secure, or that website information will always be complete or current. These disclaimers do not replace warranties expressly stated in a separate transaction document.
Limitation of liability
To the fullest extent permitted by law, Hospital Asset and its owners, employees, agents, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising from the website or these Terms. Our aggregate liability arising from the website or these Terms will not exceed the greater of $100 or the amount you paid us specifically to use the website during the six months before the event giving rise to the claim. This section does not limit liability that cannot lawfully be limited.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Hospital Asset and its owners, employees, and agents from third-party claims, losses, liabilities, and reasonable costs arising from your unlawful misuse of the website, your violation of these Terms, or materials you submit. This obligation does not apply to the extent a claim results from Hospital Asset’s own unlawful conduct.
Changes and termination
We may modify or discontinue website features and may suspend access to protect the website, users, or our rights. We may update these Terms by posting a revised version and changing the effective date. Changes apply prospectively when posted; your continued use after that time constitutes acceptance.
General terms
These Terms and the Privacy Policy are the entire agreement concerning use of the website, except for any separate transaction agreement. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them as part of a reorganization or transfer of the business. Applicable federal law and the laws of the state in which Hospital Asset is principally established govern these Terms, without regard to conflict-of-law rules.
